Key Responsibilities
Corporate and Commercial Legal Support
- Draft, review, and negotiate a wide range of commercial agreements, including service agreements, NDAs, leases, referrals, and vendor contracts.
- Conduct legal due diligence and contract risk assessments; flag issues and propose legally sound and commercially practical solutions.
- Assist in structuring transactions and provide contract interpretations to internal stakeholders.
Corporate Governance and Housekeeping
- Support corporate housekeeping requirements of the Company and its local and foreign affiliates, including the preparation of board and shareholder resolutions, secretary’s certificates, and related documents.
- Assist in maintaining corporate records, statutory books, and governance documentation.
Regulatory Compliance
- Assist with government and regulatory filings (e.g., SEC, local government units, PEZA/BOI, and other regulatory bodies, as applicable).
- Monitor compliance with applicable laws and regulations, including corporate, labor, data privacy, and business regulations.
- Support internal compliance initiatives and audits.
Legal Research and Advisory
- Conduct legal research on Philippine and relevant foreign laws, rules, and regulations affecting the business.
- Prepare legal memoranda, position papers, and internal advisories on legal and regulatory issues.
- Assist senior counsel in handling disputes, claims, demand letters, and coordination with external counsel.
Stakeholder Support and Coordination
- Work closely with business units (Sales, HR, Finance, Operations, and Management) to provide timely and practical legal guidance.
- Coordinate with external counsel, regulators, and counterparties, as required.
- Participate in meetings and discussions to provide legal inputs and ensure alignment with company policies and risk appetite.
Other Duties
- Support knowledge management, legal process improvements, and internal legal training initiatives.
- Perform other legal and compliance-related tasks that may be assigned from time to time.

To apply, you must be an expert on the following requirements:
Experience
- At least 2–5 years of relevant legal experience in corporate, commercial, or regulatory law, gained from a law firm and/or in-house legal department.
- Experience in contract review, corporate housekeeping, and regulatory compliance is required.
- Exposure to cross-border or multinational operations is an advantage.
Skills and Competencies
- Strong drafting, negotiation, and legal research skills.
- Solid understanding of Philippine corporate and commercial laws; working knowledge of labor and data privacy laws is preferred.
- High attention to detail with the ability to spot legal and commercial risks.
- Strong communication and stakeholder management skills.
- Ability to manage multiple matters, meet deadlines, and work independently with minimal supervision.
- Professional judgment, discretion, and a high level of integrity.
It will also be favorable if you are knowledgeable in:
Experience
- At least 2–5 years of relevant legal experience in corporate, commercial, or regulatory law, gained from a law firm and/or in-house legal department.
- Experience in contract review, corporate housekeeping, and regulatory compliance is required.

The successful candidate must submit the following pre-employment requirements
- Scanned copy of valid NBI Clearance
- Accomplished Medical or PEME Slip (covered by KMC)
- 2x2 & Half body picture with white background
- Proof of government numbers (TIN, SSS, Pag-ibig, & Philhealth)
- Photocopy of 2 valid IDs – front & back (government-issued)
- Clear copy of your Birth Certificate (PSA or NSO)
- Accomplished HR Forms & Promissory Note (will be provided by KMC’s Onboarding Team
