Advanced Corporate and Commercial Legal Support

  • Lead the drafting, review, and negotiation of complex commercial agreements, including service agreements, master agreements, leases, referrals, outsourcing arrangements, and strategic partnerships.
  • Independently assess legal, regulatory, and commercial risks; propose practical, business‑oriented solutions aligned with company risk appetite.
  • Support transaction structuring and advise business units on contractual implications, obligations, and risk exposure.

Corporate Governance and Structuring

  • Handle corporate housekeeping requirements with minimal supervision, including preparation and review of board and shareholder resolutions, secretary’s certificates, and governance documentation.
  • Support corporate restructuring, entity management, and inter‑company arrangements for local and offshore affiliates.
  • Assist in corporate secretarial functions, as may be assigned.

Regulatory and Compliance Leadership

  • Provide legal support for regulatory filings and compliance requirements (e.g., SEC, PEZA/BOI, LGUs, and other applicable regulators).
  • Monitor legal and regulatory developments affecting the business and prepare internal advisories or recommendations.
  • Support internal compliance initiatives, audits, and remediation efforts.

Legal Advisory, Risk Management, and Dispute Support

  • Prepare and review legal memoranda, position papers, and internal guidance on complex legal issues.
  • Assist senior counsel in managing disputes, claims, demand letters, labor and commercial issues, and coordination with external counsel.
  • Participate in risk assessments for new products, services, and business initiatives.

Team Support and Stakeholder Management

  • Mentor and provide guidance to Associate Legal Counsels and junior legal staff.
  • Review work products of junior team members for quality, legal soundness, and consistency.
  • Serve as a key legal point of contact for internal stakeholders and participate in meetings requiring senior‑level legal input.

Process Improvement and Knowledge Management

  • Contribute to the development and improvement of legal templates, standards, playbooks, and internal processes.
  • Support legal training and knowledge‑sharing initiatives within the organization.
  • Perform other legal and compliance‑related tasks as may be assigned.

To apply, you must be an expert on the following requirements:

Experience

  • At least 5–8 years of relevant legal experience in corporate, commercial, regulatory, or in‑house practice.
  • Demonstrated experience in leading contract negotiations and handling matters with minimal supervision.
  • Exposure to cross‑border or multinational operations is a strong advantage.

Skills and Competencies

  • Strong legal drafting, negotiation, and analytical skills.
  • Well‑developed understanding of Philippine corporate and commercial laws; working knowledge of labor, data privacy, and regulatory compliance.
  • Proven ability to identify, assess, and manage legal and commercial risk.
  • Strong communication, stakeholder management, and mentoring skills.
  • Ability to balance legal risk with business objectives in a fast‑paced environment.
  • High level of professionalism, integrity, and sound judgment.

It will also be favorable if you are knowledgeable in:

  • Accomplished Medical or PEME Slip (covered by KMC)
  • 2x2 & Half body picture with white background

  • Photocopy of 2 valid IDs – front & back (government-issued)
  • Clear copy of your Birth Certificate (PSA or NSO)
